Michael is a highly experienced and leading corporate and commercial lawyer, having acted for major corporations within and outside Australia for over 25 years. His current practice includes providing corporate and commercial advice in the oil and gas industry, to listed public companies, Australian companies and Australian branches of multinational companies.
Michael is responsible for clients in many industries, such as telecommunications, oil and gas, mining, waste management, motor industry, funeral and technology.
He is experienced in IPOs, equity fund raising, listed company takeovers, corporate reconstructions and negotiated mergers and acquisitions. His most recent major transaction was leading our team in acting for PETRONAS, the Malaysian oil and gas multinational, in a series of large transactions including:
- US$2 billion acquisition of 40% of Santos upstream gas interests (including Petroleum Leases, Pipeline Licences and Authorities to Prospect) and related project development agreements relating to the GLNG Project at Gladstone, Queensland.
- acquisition of upstream interests from Santos of further upstream assets.
- sales of upstream, midstream and downstream assets in GLNG to Total.
- negotiation of project agreements and obtaining governmental approvals necessary for Final Investment Decision. Estimated project expenditure - $16 billion.
- acquisition of Comet Ridge to Wallumbilla Pipeline.
Due to his experience and reputation for sound judgment, Michael is often called on to advise boards of directors and senior executives of listed companies when decision making becomes difficult and conflicts arise. Michael is an experienced negotiator and frequently represents clients in the negotiated settlement of disputes to avoid the expense and risk of litigation.
Michael joined Addisons as a Partner, from a major international law firm, in April 2005.
